1. Scope of Application

These General Terms and Conditions apply to all agreements between Florian Silly (hereinafter referred to as the “Provider”) and his clients (hereinafter referred to as “Participants” or “Clients”) regarding services concluded verbally, in writing, or electronically (e.g., via website, email, booking platforms).

Deviating agreements shall only be valid if confirmed in writing.

2. Description of Services

The services offered are intended exclusively for personal development and the enhancement of clarity, awareness, and inner alignment.

The services do not constitute medical, psychological, psychotherapeutic, psychiatric, legal, financial, or other regulated professional advice. No diagnoses are made, and no medical or psychological conditions are treated, alleviated, or cured.

The services are process-oriented and resource-based, supporting mindfulness, self-reflection, focus, and conscious goal alignment.

Clients acknowledge that they participate voluntarily and are solely responsible for their decisions, actions, and results. No guarantees regarding specific outcomes, financial results, or personal achievements are given.

3. Conclusion of Contract

A contract is concluded once the Client books a service in writing, electronically, or verbally and the booking is confirmed by the Provider.

Bookings may be made via email, online calendar, or acceptance of an offer.

4. Services and Duration

The services include the content described in the respective offer or on the website (e.g., number and duration of sessions, formats, supporting materials).

The Provider reserves the right to make reasonable modifications to structure or content if such modifications serve the Client’s progress and do not materially alter the overall service.

All appointments take place either in person or online (e.g., via Zoom or similar platforms).

5. Fees and Payment Terms

The agreed fee is payable in advance or in accordance with the individual agreement as stated in the offer or invoice.

All prices are stated in Euro and – unless otherwise specified – exempt from VAT in accordance with § 6 para. 1 no. 27 Austrian VAT Act (small business regulation).

Installment payments may be agreed individually. In the event of delayed payment, the Provider reserves the right to suspend services until outstanding amounts are settled.

6. Cancellation, Rescheduling, and Early Termination

Cancellations or rescheduling of appointments are free of charge up to 48 hours before the agreed appointment.

In case of later cancellation, the full fee shall be due unless a valid reason (e.g., proven illness) is provided.

If a Client terminates an ongoing service prematurely, there is no entitlement to a refund of amounts already paid, unless termination occurs for important reasons attributable to the Provider.

The statutory right of withdrawal for consumers in distance contracts remains unaffected (see section 7).

7. Right of Withdrawal for Distance Contracts

If the contract is concluded as a distance contract, consumers have the right to withdraw within 14 days without stating reasons in accordance with § 11 et seq. Austrian Distance and Off-Premises Contracts Act (FAGG).

The withdrawal period begins upon conclusion of the contract.

To exercise the right of withdrawal, a clear declaration via email to info@infiniteflow.at is sufficient.

Important Notice

If the service begins at the Client’s express request before the expiration of the 14-day withdrawal period, the right of withdrawal expires upon commencement of the service in accordance with § 18 para. 1 no. 11 FAGG.

8. Limitation of Liability

To the fullest extent permitted by applicable law, the Provider shall not be liable for any indirect, incidental, consequential, special, punitive, or exemplary damages, including but not limited to loss of profits, loss of revenue, loss of opportunity, business interruption, reputational damage, or emotional distress, arising out of or in connection with the services provided.

The Provider’s total aggregate liability for any claims arising out of or relating to the services shall in any event be limited to the amount actually paid by the Client for the respective service.

Nothing in these Terms shall exclude or limit liability for damages caused by intentional misconduct or gross negligence, or for liability that cannot legally be excluded under Austrian law.

Clients acknowledge that results depend on individual effort, background, mindset, and external circumstances beyond the Provider’s control.

9. Indemnification

Clients agree to indemnify and hold harmless the Provider from any claims, damages, liabilities, costs, or expenses (including reasonable legal fees) arising from their own actions, decisions, or misuse of the services.

10. Confidentiality and Data Protection

Confidentiality shall be maintained regarding all personal and business information shared by Clients.

Personal data shall be processed in accordance with the General Data Protection Regulation (GDPR).

11. Intellectual Property

All materials, documents, texts, recordings, meditations, frameworks, methods, videos, and other content provided are protected by copyright and intellectual property law.

Any reproduction, distribution, recording, resale, sublicensing, or commercial use without prior written consent is strictly prohibited.

12. No Educational Certification

The services do not constitute a state-recognized educational program, distance learning course, or professional qualification.

They are intended solely for personal development and do not include formal education, examinations, or certification.

13. Final Provisions

Should any provision of these Terms be or become invalid, the remaining provisions shall remain unaffected.

Place of jurisdiction is Innsbruck, Austria.

Austrian law shall apply exclusively, excluding conflict-of-law rules and the UN Convention on Contracts for the International Sale of Goods.
